Template — review with your lawyer. These terms are a plain-language starting point. Replace the bracketed placeholders and have them reviewed before relying on them. A signed agreement or statement of work with a client takes priority over these terms.
Terms of service
Last updated: 2 November 2026
1. Who these terms are between
These terms are between you (the business using our services, “you”) and [AI Ekip legal company name], [registered address] (“AI Ekip”, “we”, “us”), which provides AI Ekip Agentic Marketing: paid advertising management services and access to our software platform (together, the “Services”). By signing an order or using the platform, you agree to these terms.
2. The Services
We plan, run and optimise paid advertising on the channels in your plan, and give you access to our platform for dashboards, leads, reports, approvals and AI features. The exact scope (channels, deliverables, meetings) is set out in your plan or statement of work.
Some features depend on third-party platforms such as Google, Meta, LinkedIn, TikTok, Microsoft, Shopify and HubSpot. Their availability, rules and APIs can change, and we can't control that.
3. Your ad accounts and payments to platforms
- Ad accounts, pixels, audiences and campaign history are owned by you and stay in your name.
- You pay the advertising platforms directly for your ad spend. Our fees do not include ad spend, and we don't add a markup to it.
- You're responsible for keeping a valid payment method on your ad accounts. We're not responsible for campaigns stopping because a platform payment failed.
4. Fees and billing
- Setup fee: a one-time fee shown in your order, invoiced at the start.
- Monthly fee: the fee for your plan. Where your plan includes a percentage of ad spend, it is calculated on the actual spend reported by the platforms for the channels we manage in that month.
- Invoices are due within [14] days. Prices are in US dollars and exclude taxes, which are added where applicable.
- If an invoice is more than [30] days overdue, we may pause work after giving you written notice.
5. Term and cancellation
Plans have a minimum term of 3 months from the start date. After that they continue month to month, and either of us can cancel with 30 days' written notice. When the Services end, you keep your ad accounts, and we'll help you export your leads and reports on request before we delete your data as described in our privacy policy.
6. Changes to campaigns and approvals
- Changes to live campaigns are made through change requests that are recorded in an audit log.
- AI features and automation rules can propose changes; they don't apply them without human approval.
- You choose which changes need your approval. Changes you approve, or that fall within limits you set, are your decision.
7. Your responsibilities
- Give us accurate information and the access we need, and keep your logins secure.
- Make sure your products, offers, landing pages and ads comply with the law and with each platform's advertising policies, including special rules for health, finance, housing, employment and legal services.
- Make sure you have the right to collect and use the personal data of your leads and customers, including giving any required privacy notices and obtaining consent where needed.
- Don't misuse the platform, try to access other clients' data, or use it for anything unlawful.
8. Results
We work hard to improve your results, but advertising outcomes depend on many things outside our control, such as your market, offer, pricing, competition and platform changes. We don't guarantee specific results, such as a number of leads, sales or a return on ad spend. Examples on our website are illustrative unless stated otherwise.
9. Data protection
Our privacy policy explains how we handle personal data. Where we process personal data on your behalf (for example your leads), we do so as your processor under a data processing agreement, which we'll provide on request.
10. Intellectual property
You own your ad accounts, your data, your brand and the ad creative we produce for you once it's paid for. We own the platform, our software, templates and know-how. You get a right to use the platform during your plan.
11. Confidentiality
Each of us will keep the other's non-public business information confidential and use it only to perform or receive the Services.
12. Liability
To the extent the law allows: neither of us is liable for indirect or consequential losses, such as lost profits or lost data; and our total liability under these terms in any 12-month period is limited to the fees you paid us in that period. Nothing limits liability that can't be limited by law.
13. Changes to these terms
We may update these terms. We'll tell clients about material changes by email at least 30 days before they take effect.
14. Governing law
These terms are governed by the laws of [country/state], and the courts of [city] have jurisdiction.
